Please read these Terms of Service ("Terms") carefully before using the Beltroni AI application (the "Service"). Your access to and use of the Service is conditioned on your acceptance of and compliance with these Terms.

1. Accounts

When you create an account with us, you must provide information that is accurate, complete, and current at all times. You are responsible for safeguarding the password that you use to access the Service and for any activities or actions under your password.

2. Subscriptions and Payments

  • The Service is billed on a subscription basis (monthly or yearly). You can manage your subscription plan from the 'Pricing' or 'Factory' menu in your dashboard.
  • All payments are processed by our third-party payment processor, Stripe. By providing payment information, you agree to their terms and conditions.
  • You may cancel your subscription at any time from your Profile page.
  • We reserve the right to immediately suspend or terminate service without refund if your account is found to be in violation of these Terms.

3. Content, Training Data, and Agent Configuration

3.1 Training Data and Uploaded Content

  • You are responsible for the legality, reliability, and appropriateness of all documents and content you upload to train your AI Agents, whether Chat Agents or Voice Agents ("Training Data").
  • You retain all of your rights to any Training Data you submit. By uploading it, you grant us a license to use, modify, and reproduce this data solely for the purpose of providing and improving the AI service for you.
  • Training Data must not contain content that violates these Terms or applicable laws.

3.2 System Prompts and Personas

  • You are responsible for the content and instructions you provide in System Prompts (also referred to as "Personas" or "Agent Configuration") for both Chat Agents and Voice Agents.
  • System Prompts define how your AI Agents behave, respond, and interact with users or callers.
  • You must ensure that your System Prompts comply with these Terms and do not instruct agents to engage in prohibited activities.
  • We reserve the right to review, modify, or reject System Prompts that violate these Terms or pose risks to users.
  • For Voice Agents, system prompts are automatically generated based on your configuration choices and industry templates to ensure compliance with disclosure and safety requirements.

3.3 Agent Types

The Service provides two types of AI Agents:

  • Chat Agents: Text-based conversational agents that interact with users through chat interfaces on websites, applications, or messaging platforms.
  • Voice Agents: Voice-based conversational agents that interact with callers through telephone systems using speech recognition and text-to-speech technologies.

Both agent types are subject to all provisions of these Terms.

4. Acceptable Use

You agree not to use the Service for any unlawful purpose or to configure agents (Chat or Voice) in ways that are illegal, harmful, or infringe on the rights of others.

4.1 Prohibited Activities

You expressly agree NOT to use the Service or configure Chat Agents or Voice Agents to:

  • Impersonate government agencies, law enforcement, financial institutions, healthcare providers, or any other entity with the intent to deceive
  • Request sensitive personal information including but not limited to:
    • Social Security Numbers
    • Credit card or banking information
    • Passwords or security credentials
    • Government-issued ID numbers
    • Medical or health information without proper authorization
  • Create artificial urgency regarding payments, account suspensions, legal threats, or arrest warrants
  • Conduct fraud, phishing, or social engineering of any kind
  • Deploy agents that fail to properly identify themselves as AI/automated systems when required
  • Misrepresent your business identity or use company names of organizations you do not represent
  • Harass, threaten, or abuse individuals or groups
  • For Voice Agents: Conduct robocalling campaigns that violate TCPA (Telephone Consumer Protection Act) or similar telecommunications regulations
  • Collect information from individuals without proper consent and disclosure
  • Provide medical, legal, or financial advice without proper disclaimers and qualifications
  • Spread misinformation or disinformation deliberately
  • Engage in spam or unsolicited commercial communications
  • Facilitate or promote sex work or prostitution
  • Share or solicit explicit or harmful content

4.2 AI Agent Disclosure Requirements

All AI Agents (Chat and Voice) created through the Service MUST:

  • For Voice Agents: Identify themselves as AI or automated systems in the initial greeting of every call
  • For Chat Agents: Clearly indicate they are AI assistants when appropriate or when asked
  • Accurately represent the company or organization they serve
  • NOT claim to be human employees or operators when such claims would be deceptive
  • Clearly state their purpose and capabilities
  • Provide appropriate disclaimers when discussing regulated topics (medical, legal, financial advice)

4.3 Company Name and Identity Requirements

  • Company names and business identities used in agent configurations must be legitimate and verifiable
  • You may not use names of government agencies, law enforcement, financial institutions, or other entities you do not legally represent
  • You must have legal authorization to represent the business or organization named in your Agent configuration
  • Fictitious business names must comply with applicable business name registration laws

4.4 System Prompt Restrictions

System Prompts and Personas must not:

  • Instruct agents to deceive, manipulate, or mislead users/callers
  • Override safety and disclosure requirements built into the platform
  • Include instructions that would cause agents to violate these Terms
  • Contain malicious code or attempts to exploit system vulnerabilities

5. Monitoring, Enforcement, and Cooperation

5.1 Active Monitoring

  • We actively monitor AI Agent behavior, interaction patterns, and usage for signs of abuse or policy violations
  • We employ automated systems to detect suspicious activity including:
    • Keyword and phrase analysis in System Prompts and conversations
    • Usage volume and pattern monitoring
    • User complaint tracking
    • Anomaly detection in agent behavior
  • We review user-reported incidents and complaints promptly
  • Training Data and System Prompts may be subject to automated and manual review for compliance

5.2 Enforcement Actions

We reserve the right to take immediate action without prior notice, including:

  • Suspending or terminating specific Chat Agents or Voice Agents that violate these Terms
  • Modifying or overriding System Prompts that pose safety or compliance risks
  • Suspending or terminating user accounts
  • Refusing service or refunds to violators
  • Reporting violations to appropriate authorities
  • Preserving evidence of violations for legal purposes

5.3 Law Enforcement Cooperation

  • We will fully cooperate with law enforcement investigations
  • We may provide account information, Training Data, System Prompts, conversation logs, call transcripts, and other data in response to valid legal requests
  • Users who violate these Terms may face legal action including criminal prosecution
  • We may proactively report suspected criminal activity to appropriate authorities

5.4 User Reporting

  • We provide mechanisms for individuals to report abusive Chat Agent or Voice Agent interactions
  • Reports are investigated promptly and may result in immediate account suspension
  • False reports may result in consequences for the reporting party

6. Disclaimers and Limitation of Liability

  • The Service is provided on an "AS IS" and "AS AVAILABLE" basis.
  • The responses and actions of your AI Agents are based on your configuration, Training Data, System Prompts, and instructions. You are solely responsible for how your Chat Agents and Voice Agents interact with users and callers.
  • We are not responsible for any incorrect, misleading, or harmful information provided by your agents, whether originating from Training Data, System Prompts, or agent behavior.
  • While we implement safety measures and content moderation, we cannot guarantee prevention of all harmful content or behavior.
  • Beltroni AI, its directors, and employees will not be liable for any indirect, incidental, or consequential damages resulting from your use of the Service.
  • You agree to indemnify and hold harmless Beltroni AI from any claims, damages, or legal actions arising from your use of the Service, including but not limited to violations of these Terms.

7. User Liability and Indemnification

You agree to:

  • Be solely responsible for all activities conducted through your Chat Agents and Voice Agents
  • Comply with all applicable federal, state, and local laws including:
    • TCPA (Telephone Consumer Protection Act) for Voice Agents
    • Do Not Call regulations
    • Consumer protection laws
    • Data privacy laws (GDPR, CCPA, etc.)
    • Industry-specific regulations (HIPAA for healthcare, GLBA for financial services, etc.)
  • Obtain proper consent before collecting personal information through agents
  • Indemnify, defend, and hold harmless Beltroni AI from any claims, lawsuits, damages, or expenses (including attorney's fees) arising from:
    • Your misuse of the Service
    • Your Training Data or System Prompts
    • Actions taken by your AI Agents
    • Violations of third-party rights
  • Compensate Beltroni AI for any costs incurred due to your violations of these Terms

8. Account Verification

  • We may require additional verification for certain account activities, usage levels, or industries
  • Business verification may be required including:
    • Business registration documents
    • Tax identification numbers
    • Proof of business legitimacy
    • Industry-specific licenses or certifications
  • Failure to provide requested verification may result in service limitations or account suspension
  • High-risk industries may require additional scrutiny and approval

9. Usage Limits and Restrictions

  • Accounts are subject to usage limits based on subscription tier
  • Limits may apply to:
    • Number of Chat Agents and Voice Agents
    • Volume of conversations or calls
    • Amount of Training Data
    • API request rates
  • Excessive or unusual usage patterns may trigger automatic reviews
  • We reserve the right to limit, throttle, or suspend service for accounts exhibiting suspicious behavior
  • New accounts may have reduced limits during an initial evaluation period

10. Data Privacy and Security

  • Your use of the Service is also governed by our Privacy Policy
  • You are responsible for ensuring your use of agents complies with applicable data privacy laws
  • You must obtain appropriate consents before collecting personal data through agents
  • You are responsible for handling any personal data collected through your agents in compliance with applicable laws

11. Intellectual Property

  • The Service and its original content (excluding Training Data and System Prompts provided by users), features, and functionality are and will remain the exclusive property of Beltroni AI.
  • You retain ownership of your Training Data and System Prompts
  • You grant us a license to use your content solely for providing the Service
  • You may not reverse engineer, decompile, or attempt to extract source code from the Service

12. Changes to Terms

We reserve the right to modify these terms at any time. We will provide notice of any changes by updating the "Last Updated" date and posting the revised Terms. Material changes will be communicated via email or dashboard notification. By continuing to use the Service after those revisions become effective, you agree to be bound by the revised terms.

13. Termination

  • You may terminate your account at any time through your Profile page
  • We may terminate or suspend your account or specific agents immediately, without prior notice or liability, for any reason including violation of these Terms
  • Upon termination:
    • Your right to use the Service will immediately cease
    • Your agents will be deactivated
    • We may delete your data according to our data retention policies
    • You remain liable for any violations that occurred before termination
  • We reserve the right to permanently ban users and refuse future service

14. Governing Law and Dispute Resolution

  • These Terms shall be governed by and construed in accordance with the laws of [Your Jurisdiction], without regard to its conflict of law provisions.
  • Any disputes arising from these Terms or use of the Service shall be resolved through [arbitration/court system as appropriate]

  • These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States of America, without regard to its conflict of law provisions.
  • Any disputes arising from these Terms or use of the Service shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
  • You agree that any arbitration shall be conducted on an individual basis and not as a class action, and you waive your right to participate in a class action lawsuit or class-wide arbitration.
  • Either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights or confidential information.
  • Either party may bring an action in small claims court if the claim qualifies for small claims jurisdiction.
  • The arbitration shall take place in Tallahassee, Florida, and judgment on the arbitration award may be entered in any court having jurisdiction.
  • To the extent arbitration does not apply, you agree to submit to the personal and exclusive jurisdiction of the state and federal courts located in Tallahassee, Florida.

16. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Beltroni AI regarding the Service and supersede all prior agreements and understandings.

18. Acknowledgment and Acceptance

By using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service. You acknowledge that:

  • You are responsible for all content, Training Data, and System Prompts you provide
  • You are responsible for all actions taken by your Chat Agents and Voice Agents
  • Violations may result in immediate service termination, legal action, and cooperation with law enforcement
  • You will comply with all applicable laws and regulations
  • You have the legal authority to accept these Terms on behalf of yourself or your organization
